Employment Contract

EMPLOYMENT CONTRACT

This employment agreement ("Agreement") is made and effective as of the date signed, by and between:

Employer: Smiles of La Jolla with a mailing address of 4150 Regents Park Row, STE 320, La Jolla, CA 92037 and

Employee: (completed below) with a mailing address as stated below.

WHEREAS the Employer intends to hire the Employee for the Position and the Employee desires to provide their services to the Employer for payment.

IN CONSIDERATION of promises and other good and valuable consideration, the parties agree to the following:

  1. EMPLOYEE DUTIES. The Employee agrees to act in accordance with this Agreement and with the best interests of the Employer in mind, performing all duties required of the Position, adhering to all policies, procedures, rules, and regulations administered by the Employer, and abiding by all local, county, State, and Federal laws while employed.
  2. RESPONSIBILITIES. The Employee shall be given the job title designated below ("Position"). The Employer may assign additional duties from time to time. The Employee shall be expected to work full-time or part-time as indicated.
  3. EMPLOYMENT PERIOD. The Employer agrees to hire the Employee At-Will, meaning this Agreement may be terminated at any time by either party.
    1. Employee's Termination. The Employee shall provide at least 14 days' notice.
    2. Employer's Termination. The Employer may terminate at any time.
  4. PAY. Compensation shall be as specified in the Manager Section, paid on a bi-weekly basis.
  5. EMPLOYEE BENEFITS. After a 90-day trial period: (a) Health Care Insurance up to $100/Mo; (b) 401K plan. Benefits may change at any time.
  6. OWNERSHIP INTEREST. This Agreement shall not include partial ownership in the business operations of the Employer.
  7. TRIAL PERIOD. The Employee will not be eligible for Benefits, Vacation Time, or Personal Leave until after the first 90 days of employment.
  8. VACATION TIME. After the Trial Period, the Employee is entitled to 0.01538 hours for every hour worked up to a maximum of 32 hours per year. Any unused Vacation Time shall be forfeited at year end.
  9. PERSONAL LEAVE. After the Trial Period, the Employee shall be eligible for 0 days of paid/unpaid time off per year for personal and/or medical issues.
  10. FEDERAL HOLIDAYS. New Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, Christmas Day. Subject to change by Employer at any time.
  11. CONFIDENTIALITY. The Employee agrees to keep all proprietary information of the Employer strictly confidential. Disclosure may result in litigation eligible for equitable relief, including claims for losses, damages, and attorney's fees.
  12. POST TERMINATION. After termination, confidentiality obligations continue for 60 Months.
  13. NON-COMPETE. There shall be no non-compete established in this Agreement.
  14. EMPLOYEE'S ROLE. The Employee shall not act in the capacity of the Employer or make agreements with customers, clients, affiliates, vendors, or third parties.
  15. APPEARANCE. More than 3 unexcused absences in a 12-month period grants the Employer the right to terminate immediately.
  16. DISABILITY. The Employer may terminate with 5 days' written notice if the Employee cannot perform duties due to physical or mental disability.
  17. COMPLIANCE. The Employee agrees to adhere to all sections of this Agreement and all company policies and applicable laws.
  18. RETURN OF PROPERTY. The Employee agrees to return all Employer property upon termination.
  19. NOTICES. All notices shall be in writing delivered via Certified Mail to the addresses of the parties.
  20. AMENDMENTS. Modifications must be attached and authorized by all parties.
  21. SEVERABILITY. This Agreement remains in effect if any section is found unenforceable.
  22. WAIVER OF CONTRACTUAL RIGHTS. Failure to enforce a provision is not a waiver of rights.
  23. GOVERNING LAW. This Agreement is governed under the laws of the State of California.
  24. ENTIRE AGREEMENT. This Agreement supersedes any prior agreements between the Employer and Employee.
